The Customer shall be liable to Bas Ek Call for losses, expenses or damages and agrees to indemnify, defend and hold harmless Bas Ek Call and /or the Dealer harmless from any and all claims, losses, damages, liabilities, costs and expenses, including and without limitation legal fees and expenses arising out of or related to its use or misuse of Bas Ek Call Services, violation of these terms and conditions or any breach of any representations, warranties and covenants made by the Customer. The Customer shall indemnify Bas Ek Call against any fraud or any loss or damage suffered by Bas Ek Call due to the failure on the part of the Customer to communicate correct permanent or communication address and/or failure on the part of the Customer to communicate any change/alteration in the said permanent or communication address.
The Transaction and the Transaction limits for the operation of Bas Ek Call Account of the Customer shall be set at the sole discretion of Bas Ek Call in accordance with the Applicable Law as amended from time to time. Such set Transactions and Transaction limits shall be communicated to the Customer by posting on the Website (www.basekcall.com
Usage and operation of the Bas Ek Call Account including Bas Ek Call mobile App is subject to payment of service charges prescribed by Bas Ek Call on the Website (www.basekcall.com from time to time. Charges shall be exclusive of applicable taxes, duties, cess etc. The Customer unconditionally and irrevocably authorizes Bas Ek Call to debit Customers Bas Ek Call Account from time to time with an equivalent fee and Charges applicable for the issue and use of the Bas Ek Call Account as published by Bas Ek Call.
The terms and conditions herein shall be subject to the Applicable Law. Further, Bas Ek Call may alter, modify or amend these terms and conditions from time to time and the same shall be updated and displayed by Bas Ek Call on its Website (www.basekcall.com. The Customer is expected to keep himself/herself updated with the amendments to the terms and conditions. Any transaction done subsequent to the amendment of the terms and conditions will be considered as Customer’s acceptance of the amended terms and conditions. Bas Ek Call may modify, terminate and/or suspend Bas Ek Call Services anytime with or without prior notice, due to any changes in internal policies or Applicable Law.
The Customer agrees that these terms and conditions are effective until terminated by Bas Ek Call and Bas Ek Call reserves the right to terminate these terms and conditions. Bas Ek Call may move, change, suspend or end any part of the Services provided by Bas Ek Call. Bas Ek Call reserves the right to terminate Customers membership and remove all the content in Customers account for reasons, including, but not limited to: violation of any governing policy or Applicable Law. You agree that any termination of your access to the Services or any account you may have or portion thereof may be effected without prior notice, and you agree that Bas Ek Call will not be liable to you or any third party for any such termination. Any suspected fraudulent, abusive or illegal activity may be referred to appropriate law enforcement authorities.
Bas Ek Call provides only platform to meet the buyer and sellers, we are not manufacturer of any product. All the warranties and guaranty will be bear by the manufacturer of product. Bas Ek Call and its third-party partners, licensors, and suppliers disclaim all warranties, statutory, express or implied, including, but not limited to, implied warranties of Merchantability, fitness for a particular purpose, and non-infringement of proprietary rights. We do not authorize anyone to make any warranty on our behalf and you should not rely on any such statement. In no event will Bas Ek Call be liable for any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, and the like) arising out of the use of or inability to use the site.
The Customer agrees that he/she shall have no claims/rights of whatsoever nature in the intellectual property rights arising out of and in connection with Bas Ek Call Account and Services thereto. The Customer further undertakes that he/she shall not attempt to modify, alter, obscure, translate, disassemble, decompile or reverse engineer the software underlying mobile application or create any derivative product based on the software. The Customer understands that the user interface, graphics, logos, design, compilation, information, products, services, software, and all other elements of the Bas Ek Call Services are protected by copyright, designs, patent and trademark laws and other intellectual property or proprietary rights of either Bas Ek Call or its related parties.
Bas Ek Call shall inform the Customer of the existence of a Force Majeure Event and take all reasonable steps to engage with the Customer towards finding an appropriate solution.
"Force Majeure Event" means any event due to any cause beyond the reasonable control of Bas Ek Call and/or its partner Bank, including, without limitation, unavailability of any communication system, breach or virus in the processes or payment mechanism, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, computer hacking, unauthorized access to computer data and storage device, computer crashes, breach of security and encryption etc. Bas Ek Call shall not be liable for any failure to perform any of its obligations under these terms and conditions if the performance is prevented, hindered or delayed by a Force Majeure Event and in such case its obligations shall be suspended for so long as the Force Majeure Event continues.
In case of death of the Customer, the legal heir shall be bound by the polices of Bas Ek Call. The legal heir shall submit necessary documents and information with the Bas Ek Call as requested by the Bas Ek Call for processing the legal heirs claim as per the policy of the Bas Ek Call.
Bas Ek Call may provide you with notices and communications by email, regular mail or postings on the Site or by any other reasonable means. Except as otherwise set forth herein, notice to Bas Ek Call must be sent by courier or registered mail to BAS EK CALL, RNS Residency, Saket Colony Lane No. 1, Canal Road Dehradun - 248001, India.
This Agreement, and any rights granted hereunder, may not be transferred or assigned by you without our prior written consent which may be withheld in our sole discretion, but may be assigned by us without restriction. Any assignment attempted to be made in violation of this provision shall be void and of no effect.
Upon termination of this Agreement, any provision which, by its nature or express terms should survive, will survive such termination or expiration as applied to transfers and relationship prior to such termination or expiration.
The heading references herein are for convenience purposes only, do not constitute a part of these Terms and Conditions, and will not be deemed to limit or affect any of the provisions hereof.
This is the entire agreement between you and Bas Ek Call relating to the subject matter hereof and will not be modified except in writing, signed by both parties, or by a change to this Agreement made by Bas Ek Call in accordance with the terms of this Agreement.
These terms and conditions will be governed by and construed in accordance with the laws of the Republic of India without giving effect to any principles or conflicts of law. The courts in Dehradun shall have exclusive jurisdiction over any dispute arising from use of Bas Ek Call Services. The Customer expressly consents to the personal jurisdiction of said courts and waives any objection to such personal jurisdiction based on forums non convenience or any other basis.
This agreement by binding arbitration in accordance with the provisions of the Indian Arbitration & Conciliation Act, 1996. Any such dispute, controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Dehradun , India and judgment on the arbitration award may be entered in any court having jurisdiction thereof.
